IBM's makes a EUR 2.13 billion cash purchase from Software AG
Noerr advises in the acquisition of StreamSets and webMethods
In a significant business move, Noerr, led by Julian Lemor and Florian Sippel, has played a pivotal role in advising IBM on the acquisition of Software AG's StreamSets and webMethods businesses. This transaction, valued at EUR 2.13 billion in cash, marks a strategic investment by IBM.
StreamSets, known for its cloud-native DataOps and data ingestion platform, and webMethods, specializing in integration and API management, are key assets that IBM aims to incorporate into its operations.
However, the finalization of the deal is contingent upon meeting standard closing conditions, including securing regulatory approvals.
The legal guidance for IBM throughout this acquisition was provided by a team led by George Schoen, O. Keith Hallam III, and Jin-Kyu Baek from Cravath, Swaine & Moore LLP. Their expertise and counsel played a vital role in facilitating this major acquisition for IBM's business expansion.
